Terms of Service

1. Acceptance of the Terms

By accessing or using the Service you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Eligibility and accounts

You must be at least 18 years old to use the Service. You are responsible for your account credentials and for all activity under your account, and you agree to provide accurate information and keep it up to date.

3. The Service

ApyConnect is a multichannel customer-engagement platform that lets you connect messaging channels (such as WhatsApp), manage conversations, automate workflows and engage your customers. We may update, add or remove features over time.

4. Acceptable use

You agree not to:

• Send spam, unsolicited or unlawful messages, or violate any applicable laws or regulations.
• Infringe intellectual property or privacy rights of others.
• Attempt to gain unauthorized access to the Service, disrupt it, or reverse engineer it.
• Use the Service to transmit malware or to harass, abuse or harm others.

5. Third-party platforms and messaging compliance

The Service integrates with third-party platforms such as Meta and WhatsApp. Your use of those channels is also subject to their terms and policies, including the WhatsApp Business Messaging Policy and Commerce Policy.

You are responsible for obtaining all required opt-ins from your end-users, honoring opt-outs, and complying with all applicable messaging, marketing and consumer-protection laws.

6. Customer data and your responsibilities

You retain ownership of the data you and your end-users submit through the Service (“Customer Data”). You grant us a limited license to process Customer Data solely to provide and improve the Service. You are responsible for the lawfulness of the Customer Data and for having the necessary rights and consents.

7. Fees, billing and taxes

Paid plans are billed in advance on a recurring basis and are non-refundable except where required by law. Fees exclude applicable taxes. We may change pricing with prior notice; changes apply to the next billing cycle. Messaging charges from providers such as Meta/WhatsApp may apply in addition to our fees.

8. Intellectual property

The Service, including its software, design and content (excluding Customer Data), is owned by ApifyCloud and its licensors and is protected by intellectual property laws. These Terms do not grant you any rights other than the limited right to use the Service.

9. Confidentiality

Each party will protect the other’s confidential information with reasonable care and use it only as needed to perform under these Terms.

10. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by law, ApifyCloud will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or data. Our total liability for any claim arising out of these Terms will not exceed the amounts you paid to us for the Service in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless ApifyCloud from claims, damages and expenses arising from your Customer Data, your use of the Service, or your violation of these Terms or applicable law.

13. Term and termination

These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or to comply with law. Upon termination, your right to use the Service ends; certain provisions survive by their nature.

14. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The courts located in Delaware will have exclusive jurisdiction, subject to any mandatory consumer protections in your jurisdiction.

15. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and revise the “Last updated” date. Material changes will be communicated through the Service or by email; continued use after changes means you accept them.
